In 2021, Ngāti Maniapoto ratified their settlement with the Crown for historical Treaty of Waitangi breaches. As part of this settlement, the redress comprises of historical, cultural, financial and commercial redress including key relationships with government agencies.

Since then, Maniapoto Maori Trust Board (MMTB), the mandated iwi authority who negotiated with the Crown, have established a new post settlement governance entity (PSGE), Te Nehenehenui Trust (TNN), which is responsible for receiving, managing and administering settlement assets on behalf of Ngāti Maniapoto. Under the settlement legislation, MMTB will disestablish and all assets and liabilities will be transferred to the PSGE.

Background

The Group Audit and Risk Committee (ARC) is a Sub Committee convened by Te Nehenehenui Trust (‘TNN’), the post-settlement governance entity of Ngāti Maniapoto. TNN comprises representatives of the Maniapoto Māori Trust Board and its subsidiaries (Maniapoto Fisheries Trust and Te Kupenga o Maniapoto Limited) (‘MMTB Group’).

TNN will become the ultimate parent entity of all entities to receive settlement assets. Both MMTB & MFT will eventually be disestablished as noted earlier.
The ARC will assist Trustees of TNN and MMTB Group their respective duties in their financial reporting, compliance, audit requirements and monitoring. The ARC will consist of three to five members comprising of up to three Trustee Members (representing both TNN and MMTB), an independent member, and an Independent Chair.

 

Expectations

The Independent Chair will be available to participate at meetings, in person or by teleconference sometimes at short notice, and to devote sufficient time to preparing ARC meetings.

Members will also be familiar with the provisions of the TNN and MMTB Group Entities Deeds, Legislation and Constitutions.

 

Term of Appointment

The Independent Chair is appointed for an initial term of 3 years, and shall be eligible for reappointment at the end of the term.

 

Key Responsibilities

The responsibilities of the ARC includes the following:
1. the integrity and timeliness of the annual financial statements of MMTB Group and TNN when required;
2. the independent auditors’ qualifications, independence and performance;
3. compliance with all legal and regulatory requirements;
4. the performance of the external auditors;
5. compliance with corporate legality and ethical standards, including the maintenance of preventive fraud controls;
6. review of governance financial policies; and
7. Monitoring of corporate risk assessment and the internal controls instituted.

 

Competencies

  • Strong corporate governance and financial leadership experience.
  • Affinity with and uphold TNN and MMTB Group values.

Essential Competencies
The following competencies are deemed essential for this appointment:

  • Fully Qualified Chartered Accountant with CAANZ or equivalent.
  • Proven financial or auditing skills – extensive experience in legal, financial or business sectors, ideally Post-Settlement Iwi.
  • Risk management and policy oversight.

 

Time Commitment

It is estimated that the ARC will hold, at minimum, 4 meetings per year.
The Independent Chair will be expected to ensure full communication back to respective Boards.
